Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions.

The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms and Conditions:

• Affiliate means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority. The list of affiliates above may or may not be exhaustive.
• Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to the name located at the address listed above..
• Country refers to the location of the company.
• Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.
• Website refers to the URL, accessible from the link listed above and the website of any of its affiliates.
• Website Service refers to the Website(s).
• Software Service refers to the Grow With Systems platform.
• Service refers to the combined Website Service and Software Service.
• Terms and Conditions (also referred as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
• Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.
• You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

PLEASE READ THIS DOCUMENT CAREFULLY

This document sets out the terms of use for the software platform provided by Venture 936 Pty. Ltd. ("Venture 936", "Company", "we", "us", "our"), a registered business with ABN, 87646032224. The software platform is titled Grow With Systems, GatherGrowGo.io subsidized plans, Grow With Systems Design Suite, GWS University content, automations, data tracking tools, community, and related content and services (collectively "Grow With Systems"). It governs our Founding Member Plan members ("Founding Members"), Account Holders' team members ("Team Member"), Paused Plan members ("Paused Plan Members"), Subsidized Plan Members ("Subsidized Members"), members on any other plan, and any other users of Grow With Systems (collectively, the "Users"). When we refer to "You" or "Users", we will be clear if we are referring to a particular type of member.

Because this document represents our agreement with you about your use of Grow With Systems, please take the time to read this document before agreeing to the terms.

If you do not agree with these Terms or you do not wish to be bound by these Terms, you must not use or access Grow With Systems in any manner.

Our Terms of Use ("Terms" or "Agreement") also includes our Privacy Policy, and any other documents referred to by those agreements, and they, as a whole, govern any and all of the access to Grow With Systems.

ONE. Introduction

Thank you for choosing Grow With Systems! We provide an all-in-one marketing software to grow your digital empire, along with design templates, data tracking tools, copy templates, and strategic and tactical funnel training ("Content"). By using any of our tools and services, including all associated features and functionalities, websites, applications, online communities or social media groups, customer support, and user interfaces, as well as all Content and software applications associated with our Platform ("Services"), you are entering into a binding contract with Venture 936 Pty. Ltd..

By using Grow With Systems in any manner, you are expressly agreeing to, and give your consent to be governed by these Terms.

TWO. Age of Access

You must be at least 18 years old to use Grow With Systems. We recognize the special obligation to protect personally identifiable information obtained from children aged 13 and under. IF YOU ARE YOUNGER THAN 18 YEARS OLD, THE COMPANY REQUESTS THAT YOU NOT USE GROW WITH SYSTEMS OR SUBMIT ANY PERSONALLY IDENTIFIABLE INFORMATION TO THE SITE OR TO Venture 936 Pty. Ltd..

By using Grow With Systems, you are telling us by your actions that you are 18 years old or older (you are representing and warranting that you are 18 years old or older). If you are under the age of 18, you may not use Grow With Systems in any manner nor may you register for an account.

THREE. Account Registration

a. Account Holders

The owner of any account ("Account Holder") must complete the account registration process by providing us with current, complete, and accurate information as prompted by the applicable registration form. You must input an email address owned by only you and choose a password. You agree to keep your username and password confidential and to only register only once using one email address.

You agree you will not (i) register on behalf of another person or company; (ii) register under the name of another person or under a fictional name or alias; (iii) choose credentials that constitute or suggest an impersonation of any other person (real or fictitious) or entity or that you are a representative of an entity when you are not, or that is offensive; or (iv) choose credentials for the purposes of deceiving or misleading the Company as to your true identity.

b. Team Members

Account registration is only available to Account Holders. However, Account Holders may add Team Members to their account and provide them with individual login credentials. Team Members do not have access to our Services and Content beyond the access Account Holders provide them with.

Account Holders understand that they are wholly and completely responsible for maintaining the confidentiality of their username, password, and account. Furthermore, Account Holders are wholly and completely responsible for any and all activities that occur under their account, which includes but is not limited to Team Member activities that occur under their account.

c. Security

If we have reasonable grounds to suspect that an Account Holder or Team Member has provided false information, shared their username, password, or account with anyone else, or distributed any non-public Content to any other person, we have the right to suspend or terminate an Account Holder's account and refuse any and all current or future Services to Account Holder, in whole or part, without refund. Any personally identifiable information Account Holder provides as part of the registration process is governed by the terms of the Company's website Privacy Policy.

FOUR. Pricing Plans & Trials

A. Annual and Monthly Plan Fees; Price Changes

You can find a description of our annual and monthly payment plan options ("Plans") on our website. On our website, you'll find descriptions of the Plans available to you when you register for an account, along with details on when your payment of your selected Plan will be due. We may offer Plans that allow for you to start using Grow With Systems for free, which means that we will not require payment before you access our Services during your trial period, which is discussed in further detail in Paragraph B of this section.

We may also offer special promotional plans or discounts for Grow With Systems. We reserve the right to modify, terminate or otherwise amend our offered Plans and promotional or discounted offerings at any time in accordance with these Terms.

We may change the price for the Plans, including recurring membership fees, from time to time and will communicate any price changes to you in advance. Changes in Plan prices will take effect at the start of the next billing period following the date of the price change.

B. Trial Period

From time to time, we may offer Account Holders a trial. We may offer these Trials free of charge upon registering or with a fee upon registering for an account (in either instance, a "Trial"). All Trial offer information, including but not limited to how long the trial period is for and the costs, if any, of the Trial will be provided at the time the Trial is offered.

FIVE. User Payments, Cancellations, and Refunds

a. Payments

At the time of registering for an account with us, Account Holders agree to the fees and payment schedule listed on our website. Account Holders will be asked by us to supply certain personal information relevant to your purchase of a Plan, including, without limitation, your name, credit card number, billing address, expiration date, and card security code.

Account Holders understand and acknowledge that your monthly or annual subscription will renew automatically each month or year at the price to which you agreed when you registered for an account and continue until you cancel it.

b. Cancellations

Account Holders may cancel their Plan at any time. In the event you cancel your Plan, the cancellation will become effective at the end of the then-current billing cycle.

Upon cancellation, any and all licenses granted to you to use Grow With Systems provided to you under this Agreement shall immediately terminate. In the event you wish to cancel, please download your contact data from our Platform before cancelling your Plan.

c. Refunds

Your satisfaction with Grow With Systems is important to us. However, because of the extensive time, effort, preparation, and care that goes into creating and providing Grow With Systems, we have a no refund policy. Unless otherwise provided by law, you acknowledge that we do not offer refunds for any portion of your payment and no refunds will be provided to you at any time, and no payments will be pro-rated. By using and/or purchasing Grow With Systems, you understand and agree that all sales are final, and no refunds will be provided.

SIX. Ownership and License

A. Our Ownership of Our Content

Grow With Systems, including all information, software, technology, data, logos, marks, designs, text, graphics, pictures, audio and video files, intellectual property, other data or copyrightable materials or content, and their selection and arrangement, is and remains the sole property of Venture 936 Pty. Ltd. unless otherwise noted, and it is protected by copyright, trademark, and other intellectual property laws. Grow With Systems, including our trademarks, may not be modified by you in any way.

B. Our Limited License to You

If you view, download, or access Grow With Systems, you will be considered our licensee and for the avoidance of doubt, you are granted a limited, revocable, non-sublicensable, non-exclusive, non-transferable license to access Grow With Systems.

SEVEN. Code of Conduct

1. No Illegal Activity: Do not use Grow With Systems for any illegal activity.
2. You shall not reverse-engineer, decompile, disassemble, modify or creative derivative works of Grow With Systems.
3. You are not permitted to sell, rent, sublicense or lease any part of Grow With Systems.
4. You cannot host your clients' funnels on your account; it's one business per account.
5. You may not remove or alter any copyright, trademark, or other intellectual property notices.
6. No Fraud: Fraud will not be tolerated in any capacity.
7. No Bad Code: Do not use Grow With Systems to transmit, distribute, send, etc. viruses, worms, malware.
8. No Spamming: You may not use Grow With Systems to engage in any activities that will result in sending spam.
9. No Exploitation: You will not use any Grow With Systems community to try to gather personal information.
10. Intellectual Property: You will not upload any copyrighted, trademarked, or proprietary materials on the Platform without permission.
11. Sharing of Content: You will not share our Content with anyone who is not properly licensed.
12. You will not partake in any behavior that victimizes, harasses, degrades, or intimidates.
13. You will not upload, share, post, distribute or otherwise partake in any behavior that is unlawful.
14. No Use Other Than Intended: You may not use Grow With Systems for any purposes other than intended.
